You'll receive a pre-signed MSA/DPA via DocuSign a month in. If you do nothing, the emails eventually stop, and your data gets wiped. Invoices are emailed (via Stripe) with full remittance details. Pay by card, ACH, or wire. Only Net 30. Here are the W-9 and COI docs.
There is no metering and no auto-renewal. You get a reminder 30 days out, and must approve every renewal. Upgrade mid-term if you want more seats. Your unused balance rolls into the new contract.
Sign whenever. Your term starts the 1st of the month after your trial's end date. You always get 3 months free, along with any gap days. Partial terms are an option to align with budget cycles.

Liability Cap
Liability is capped at 5x the fees paid across your entire contract, even if multi-year. This excludes serious misconduct liability (e.g., IP infringement), which is uncapped as it should be.
Refund Policy
All sales are final. Think it over for a quarter, and align on why this investment matters (or doesn't).
Sales Tax
If you need to pay sales tax (e.g., VAT, GST, US state), Stripe Tax automatically applies it to your invoice. Email exemption certificates to support@replicate.info to apply them before invoicing.
Standard Agreements
Replicate does not support RFPs, redlines, or vendor portals. It's a simple product, sold as-is.
